How do I verify my entity (KYB)?
What type of entity can I use?
You may invest using the following entity types, subject to KYB (Know Your Business) verification:
Trust
LLC (Limited Liability Company)
Corporation (C Corporation or S Corporation)
Partnership (Limited or General)
IRA (Individual Retirement Account)
What documents are required based on the entity type?
Trusts:
Trust Agreement / Declaration / Certificate of Trust
Co-trustees must create Republic accounts
Additional documents for custodial offering:
Evidence of authorized signers
W-9 (for US) or W-8 (for non-US)
LLCs:
Articles of Organization
Operating Agreement
Co-owners with 20 % ownership must create Republic accounts
Additional documents for custodial offering:
Certificate of Good Standing issued within 12 months
Evidence of authorized signers
W-9 (for US) or W-8 (for non-US)
Description of business activity
Corporations (C or S Corp):
Certificate of Incorporation / Charter
Corporate Bylaws
Shareholder Agreement
Co-owners with 20% ownership must create Republic accounts
Additional documents for custodial offering:
Certificate of Good Standing issued within 12 months
Evidence of authorized signers
W-9 (for US) or W-8 (for non-US)
Description of business activity
Partnerships (Limited or General):
Partnership Agreement
Identification of General and Limited Partners
If GP is another entity: formation documents and Operating Agreement
Additional documents for custodial offering:
Certificate of Good Standing issued within 12 months

IRAs
IRA Agreement or statement showing name and account number
Note: IRAs are not eligible for custodial offerings. Please be sure to confirm whether an offering is custodial or non-custodial, as this determines the required documentation and investor eligibility.
